Toron Inc.
Terms & Conditions of Use
Including the Subscription & Billing Terms (Section 10)
Effective date: October 5, 2026
1. Acceptance of These Terms
Toron Inc. (“Toron,” “we,” “us,” or “our”) operates a communication and debate training platform available through our website and applications (the “Platform”). These Terms & Conditions of Use (“Terms”) govern access to and use of the Platform. Section 10 of these Terms contains our Subscription & Billing Terms. Our Privacy Policy, which describes how we collect, use, share, and retain personal information, is incorporated into these Terms by reference. By creating an account, clicking “I Agree,” using the Platform, or permitting a minor to use the Platform under your account, you enter into a binding agreement with Toron and confirm that you have read, understood, and accepted these Terms and the Privacy Policy. If you do not agree, do not create an account or use the Platform.
2. Who May Use the Platform: Account Holders and Users
2.1 Account Holder. Every account is opened by an adult who is at least 18 years old (the “Account Holder”). The Account Holder is the party bound by these Terms, is the paying customer for any subscription (Section 10), and is responsible for all activity under the account.
2.2 Users. The person who uses the Platform’s training features under an account is a “User.” A User is either: (a) the Account Holder, using the Platform for their own training (an “Adult User”); or (b) a minor who is at least 10 and under 18 years old, for whom the Account Holder is the parent or legal guardian and whom the Account Holder enrolls under the account (a “Minor User”). A Minor User who is under 13 is a “Child User.” A Minor User who is 13 to 17 is a “Teen User.”
2.3 No Users under 10. No one under 10 years old may use the Platform. This is an absolute rule. The Account Holder provides each Minor User’s date of birth at enrollment as part of the verified parental consent process, and the Platform does not activate a Minor User who is under 10. The Account Holder must not enroll a child under 10, and must not allow a child under 10 to use the Platform under any User’s login. If we learn that a child under 10 has used the Platform despite these controls, we will end that use immediately and delete the associated personal information as described in the Privacy Policy.
2.4 Minors cannot open accounts. No one under 18 may create an account. If a minor attempts to register, we will direct them to have a parent or legal guardian complete registration. When an Account Holder enrolls a Minor User, the Account Holder keeps a linked parent account to manage and oversee the Minor User’s account.
2.5 Child Users (ages 10–12) and verifiable parental consent. The Children’s Online Privacy Protection Act (“COPPA”) requires us to notify parents and obtain verifiable parental consent before collecting personal information from a child under 13. Before a Child User may use the Platform, the Account Holder must verify their identity and complete verifiable parental consent in the parent consent portal operated by our age and identity verification partner, as described in the Privacy Policy. Until consent is verified, we collect only the information needed to obtain it. We do not condition a Child User’s participation on the disclosure of more personal information than is reasonably necessary to participate. At any time, through the parent consent portal or by contacting us, the Account Holder may review the Child User’s personal information, direct us to delete it, and refuse to permit further collection or use, as described in the Privacy Policy. Because the Platform cannot operate without collecting a User’s responses, withdrawing this consent ends the Child User’s access.
2.6 Teen Users (ages 13–17). The Account Holder consents on the Teen User’s behalf to the Teen User’s use of the Platform and to the collection and use of the Teen User’s personal information as described in the Privacy Policy. This consent is recorded and managed in the parent consent portal. Where applicable law requires the Teen User’s own consent or opt-in for a particular feature or type of processing, we obtain it in addition to, not instead of, the Account Holder’s consent.
2.7 Features that require separate parental opt-in. Some features are off by default for Minor Users and are enabled only if the Account Holder opts the Minor User in through the parent consent portal or account settings. These include debates with other Users whom the Minor User has designated as Friends, and video debates. The Account Holder may withdraw an opt-in at any time, which turns that feature off for the Minor User. The Privacy Policy describes these features and the information they involve.
2.8 Age and identity verification. We use a third-party age and identity verification partner to confirm that every Account Holder is an adult and, where required, to verify the Account Holder’s identity — including before an Account Holder may enroll a Minor User or give verifiable parental consent. We may limit or suspend an account until verification is complete. The Account Holder must give accurate information about their own age and identity and each Minor User’s date of birth, and must keep it current. Misrepresenting anyone’s age or identity, or your relationship to a Minor User, is a material breach of these Terms.
2.9 Responsibility for Users. The Account Holder is fully responsible for all activity under the account, for supervising each Minor User’s use of the Platform, and for ensuring every User complies with these Terms. Acts or omissions by a User are treated as acts or omissions of the Account Holder for purposes of these Terms.
2.10 Account security. The Account Holder is responsible for maintaining the confidentiality of account credentials and for all activity occurring under the account. Notify us immediately at info@toron.io of any suspected unauthorized use.
2.11 Capacity. A Minor User is not a party to these Terms and cannot enter into a binding contract. The Account Holder is the contracting party and accepts these Terms on the Minor User’s behalf.
2.12 Institutional access. If access to the Platform is provided through a school, program, employer, or other organization under a separate written agreement with Toron, that agreement governs the organization’s rights and obligations and, where it conflicts with these Terms, controls as to the Users it covers.
3. The Platform and “Toron”
3.1 Nature of the service. The Platform provides structured communication and debate training exercises. A User responds to prompts — by voice and, where enabled, in writing or on video — and receives automated analysis, coaching, Report Cards, and progress tracking across sessions, including a longitudinal record of the User’s communication skills over time (the “Communication Genome”).
3.2 “Toron” is an AI system. Automated coaching, analysis, debate opponents, and other interactive features are referred to collectively as “Toron.” Toron is an artificial-intelligence system, not a human being. Its feedback is generated automatically, is provided for training purposes only, and may contain errors or omissions. Toron does not provide professional, psychological, medical, or educational-diagnostic advice, and its Report Cards are not academic grades or credentials.
3.3 No guaranteed outcome. We do not promise or guarantee any particular level of skill improvement, score, ranking, academic result, or other outcome from use of the Platform.
3.4 Age-appropriate design. For Minor Users, we bound the intensity of adversarial exercises, filter content, and limit interaction with other Users at the system level, with tighter limits for Child Users. Section 8 and the Privacy Policy describe these measures.
4. Acceptable Use — User Conduct
The Account Holder agrees to comply, and to ensure that every User under the account complies, with the following conduct standards. These standards apply to every response, message, profile, and interaction on the Platform.
4.1 Respect toward people and toward Toron. The User must interact respectfully with other Users, including Friends, and with Toron. The User must not harass, threaten, intimidate, demean, bully, stalk, or discriminate against any person, and must not direct abusive, hateful, or harassing content at the Toron AI system.
4.2 No profanity or offensive language. The User must not submit content that contains profanity, obscenity, vulgar language, slurs, or sexually explicit material. “Profanity” includes commonly recognized swear words, obscene expressions, and their deliberate misspellings or substitutions intended to evade filtering.
4.3 Socially responsible content. The User must not submit content that: promotes or incites violence, terrorism, or illegal activity; promotes or glorifies self-harm, suicide, or eating disorders; expresses hatred toward or discriminates against any person or group based on race, color, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, disability, age, or other protected characteristic; is defamatory, libelous, or knowingly false; or is intended to deceive, defraud, or harm others.
4.4 Good-faith training use. The User must use the Platform for its intended purpose of communication training. The User must not attempt to manipulate, jailbreak, exploit, reverse-engineer, or circumvent Toron’s safeguards, content filters, or intended behavior, and must not use the Platform to generate content unrelated to legitimate training.
4.5 Debate content vs. personal belief. The Platform involves argumentation exercises in which the User may be asked to argue positions they do not personally hold. Arguing an assigned position in good faith within an exercise is permitted and expected; using exercises as a pretext to produce prohibited content under Sections 4.1–4.3 is not.
4.6 Protecting personal information. Users must not share, and must not ask other Users to share, personal contact information — such as full name, home address, school, phone number, email address, or social-media handles — in debates, profiles, or any other Platform feature. A Minor User’s username, avatar, and profile bio must not reveal the Minor User’s full name, school, location, or contact details.
5. Prohibited Conduct
In addition to Section 4, the following are prohibited:
- Enrolling a child under 10, or allowing a child under 10 to use the Platform under any User’s login;
- Impersonating any person, or misrepresenting a User’s age, identity, or relationship to the Account Holder;
- Sharing, selling, or transferring account credentials, or permitting any unauthorized person to access the account;
- Contacting or attempting to contact another User outside the Platform using information learned on the Platform;
- Recording, capturing, or redistributing another User’s debate, profile, or content without that User’s permission and, for a Minor User, their parent’s permission;
- Uploading or transmitting malware, viruses, spam, or automated scripts, bots, or scrapers;
- Attempting to access, collect, or extract other Users’ personal information or account data;
- Attempting to gain unauthorized access to the Platform, its servers, or related systems, or to disrupt or overload them;
- Copying, reproducing, distributing, or creating derivative works from the Platform’s software, content, or methodologies except as expressly permitted;
- Using the Platform in violation of any applicable law or regulation.
6. Intellectual Property
6.1 Toron’s property. The Platform, including its software, exercises, methodologies, scoring and tagging systems, the Communication Genome framework, text, graphics, and trademarks, is owned by Toron or its licensors and is protected by intellectual-property laws. No rights are granted except the limited, personal, non-transferable right to use the Platform under these Terms.
6.2 User content. The User retains ownership of the original responses and content they submit (“User Content”). By submitting User Content, the Account Holder grants Toron a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, and create derived analytics from the User Content for the purposes of operating the Platform, generating coaching and analysis, building and maintaining the User’s Communication Genome, and improving the Platform — in each case only as described in and limited by the Privacy Policy and, for Minor Users, applicable children’s and teen privacy law.
6.3 De-identified and aggregated data. Toron may create and use de-identified or aggregated data derived from User Content that does not identify any individual, subject to the limits in the Privacy Policy and applicable law.
6.4 Feedback. If you send us suggestions or feedback about the Platform, we may use them without restriction or obligation to you.
7. Enforcement and Suspension
We may, at our discretion and with or without notice, issue warnings, filter or remove content, restrict features, suspend, or terminate an account for any actual or suspected violation of these Terms. Serious or repeated violations may result in immediate termination. We are not obligated to monitor User Content but may review, filter, and moderate it, including through automated systems, to enforce these Terms and protect Users. Termination for cause does not entitle the Account Holder to a refund except as provided in Section 10.6 or required by applicable law.
8. Safety, Supervision, and Parental Controls
8.1 Safety-by-design. The Platform incorporates safety measures for Minor Users, which may include bounded intensity in adversarial exercises, content filtering, and limits on interaction with other Users. There is no open matching with strangers: peer debates are limited to Users designated as Friends and, for Minor Users, require the Account Holder’s opt-in under Section 2.7.
8.2 Parental controls and review. Through the parent consent portal and the linked parent account, the Account Holder can grant, review, change, and withdraw consents and feature permissions for each Minor User (including Friends debates and video), set audio and video retention (including deleting recordings immediately after each session), review the Minor User’s personal information, and delete the Minor User’s account, as described in the Privacy Policy. Withdrawing a feature permission turns that feature off for the Minor User. Withdrawing consent to the Minor User’s use of the Platform ends the Minor User’s access.
8.3 No substitute for supervision. Safety measures do not replace parental supervision. The Account Holder is solely responsible for supervising each Minor User’s use of the Platform and for deciding whether the Platform is appropriate for that Minor User.
8.4 Monitoring. We may review, filter, and moderate User Content and interactions between Users, including through automated systems, to enforce these Terms and protect Users. We are not obligated to do so.
8.5 Reporting concerns. Anyone may report a safety concern or content at info@toron.io. We will review reports and respond as we deem appropriate.
9. Third-Party Services
The Platform relies on third-party service providers, including cloud hosting and database providers, our payment processor, our age and identity verification partner (which also operates the parent consent portal), speech-to-text transcription, and the AI model providers that help generate coaching. The Privacy Policy identifies these providers and what information they receive. Your use of the Platform may be subject to those providers’ terms where applicable. Toron is not responsible for the acts, omissions, or content of third parties, and provision of the Platform is subject to the continued availability of those providers.
10. Subscription & Billing Terms
This Section 10 is Toron’s Subscription & Billing Terms. It applies to every Account Holder who selects a paid plan.
10.1 Plans. Toron offers subscription plans, which may include a free tier and one or more paid tiers. Current plan names, features, and prices are shown at the point of purchase and may change as described in Section 10.7. The Account Holder is the paying customer. A subscription entitles the User or Users covered by the plan to the plan’s paid features.
10.2 Payment method and authorization. The Account Holder must provide a valid payment method. Payments are processed by our third-party payment processor; Toron does not store full card details. By selecting a paid plan, the Account Holder authorizes Toron and its payment processor to charge the applicable fees, including recurring fees, to the payment method on file, plus any applicable taxes. Prices exclude applicable sales, use, or similar taxes unless stated; Toron may collect and remit such taxes based on the Account Holder’s location.
10.3 Automatic renewal. Paid subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current price, unless canceled before the renewal date. By purchasing, the Account Holder affirmatively consents to this automatic-renewal arrangement and authorizes the recurring charge until cancellation. Where required by law, we will send a reminder before an annual renewal charge. If the price changes, we will notify the Account Holder before the change takes effect at renewal, as described in Section 10.7.
10.4 Free trials and introductory offers. If a free trial or introductory offer is provided, its length and terms will be disclosed at sign-up. Unless canceled before the trial or introductory period ends, the subscription will convert to a paid subscription and the applicable fee will be charged automatically. Only one trial per Account Holder unless otherwise stated.
10.5 Cancellation. The Account Holder may cancel at any time through account settings or the customer portal, or by contacting info@toron.io. Cancellation stops future renewals and takes effect at the end of the current paid billing period. Users retain access to paid features until that period ends. We do not provide prorated refunds for partial periods except as stated in Section 10.6 or required by law.
10.6 Refunds. Except as required by applicable law or expressly stated here, fees are non-refundable. We may issue refunds or credits at our discretion, for example in cases of billing error or extended service unavailability. Report suspected billing errors within thirty (30) days at info@toron.io; we will investigate and correct verified errors.
10.7 Price and plan changes. We may change prices, plan features, or plan structures. For changes affecting an existing paid subscription, we will provide advance notice before the change applies at the next renewal. Continued use after the change takes effect constitutes acceptance; if the Account Holder does not accept a price increase, they may cancel before it takes effect.
10.8 Failed payments and suspension. If a payment fails, we may retry the charge and may suspend or downgrade access to paid features until payment is received. Repeated failure may result in cancellation of the paid subscription.
11. Disclaimers of Warranties
THE PLATFORM AND ALL CONTENT, INCLUDING TORON’S AUTOMATED FEEDBACK AND REPORT CARDS, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, TORON DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Toron does not warrant that the Platform will be uninterrupted, error-free, or secure, that automated analysis will be accurate, or that any particular educational outcome will result. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TORON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM.
TO THE FULLEST EXTENT PERMITTED BY LAW, TORON’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY THE ACCOUNT HOLDER TO TORON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
These limitations do not apply to liability that cannot be limited by law (for example, certain claims for gross negligence, willful misconduct, or as otherwise required by applicable consumer-protection law). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
The Account Holder agrees to defend, indemnify, and hold harmless Toron and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) the Account Holder’s or any User’s use of the Platform; (b) violation of these Terms; (c) violation of any law or the rights of a third party; or (d) User Content submitted through the account. Toron may assume the exclusive defense of any matter subject to indemnification, in which case the Account Holder agrees to cooperate.
14. Governing Law
These Terms, including the Subscription & Billing Terms in Section 10, and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by applicable U.S. federal law.
15. Dispute Resolution
15.1 Informal resolution first. Before filing any claim, the parties agree to attempt to resolve the dispute informally by contacting info@toron.io and allowing thirty (30) days to resolve it.
15.2 Venue. Subject to Section 15.1, the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not otherwise resolved, except where applicable law grants the Account Holder or a User a non-waivable right to a different venue.
16. Termination
The Account Holder may end this agreement at any time by deleting the account. Toron may suspend or terminate access under Section 7. Termination or deletion does not by itself entitle the Account Holder to a refund (see Section 10.6). On deletion, we handle personal information as described in the Privacy Policy. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — survive.
17. Changes to the Platform and to These Terms
We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms. For material changes, we will notify the Account Holder (for example, by email or in-Platform notice) before they take effect and, where a change materially affects the collection, use, or disclosure of a Minor User’s personal information, we will obtain any renewed consent required by law before applying it. Continued use after changes take effect constitutes acceptance of the updated Terms.
18. General Provisions
18.1 Entire agreement. These Terms (including Section 10) and the Privacy Policy constitute the entire agreement between the parties regarding the Platform and supersede prior agreements on the subject, except any separate written agreement described in Section 2.12.
18.2 Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.
18.3 No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
18.4 Assignment. The Account Holder may not assign these Terms without Toron’s consent. Toron may assign them in connection with a merger, acquisition, or sale of assets.
18.5 Force majeure. Toron is not liable for delays or failures caused by events beyond its reasonable control.
18.6 Notices. We may provide notices by email to the Account Holder or by posting in the Platform. Notices to Toron must be sent to info@toron.io.

By clicking “I Agree,” you confirm that you are at least 18 years old; that if you enroll a Minor User you are that minor’s parent or legal guardian, have the authority to consent on the minor’s behalf, and the minor is at least 10 years old; that no child under 10 will use the Platform under your account; and that you accept these Terms, including the Subscription & Billing Terms in Section 10, and the Privacy Policy, on behalf of yourself and any Minor User under your account.
